Terms of Service

Welcome to Skillbase (“Service”), operated by Skillbase (“we”, “us”, or “our”). By accessing or using our Service, you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.

1. Description of Service

Skillbase is a platform that enables users to create, share, and monetize AI coding skills (“Skills”). Users may upload Skills, deploy them as services, and call Skills created by other users. The Service facilitates connections between skill providers and skill consumers but does not itself provide the underlying AI capabilities.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this requirement.

3. User Accounts

To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You agree to notify us immediately of any unauthorized use.

4. User-Generated Content

Users may upload, publish, and share Skills and related content (“User Content”). You retain ownership of your User Content, but grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your User Content solely for the purpose of operating and improving the Service.

You represent and warrant that your User Content does not violate any third-party rights, including intellectual property rights, and does not contain malicious code, illegal content, or content that violates these Terms.

5. Skill Execution and Results

IMPORTANT DISCLAIMER: Skills are created and provided by third-party users, not by Skillbase. WE DO NOT GUARANTEE, WARRANT, OR MAKE ANY REPRESENTATIONS REGARDING THE ACCURACY, RELIABILITY, QUALITY, OR RESULTS OF ANY SKILL. Skill descriptions and claims are provided by skill creators and have not been verified by us. THE ACTUAL EXECUTION RESULTS OF ANY SKILL MAY DIFFER FROM ITS ADVERTISED OR DESCRIBED FUNCTIONALITY. You use Skills at your own risk.

6. Platform-Hosted Execution

Skills deployed to our platform execute in isolated sandbox environments. While we implement security measures, no system is completely secure. You acknowledge that:

• Data you submit to Skills may be processed by third-party infrastructure providers
• We cannot guarantee the complete isolation or security of any execution environment
• You should not submit sensitive, confidential, or regulated data to Skills unless you accept the associated risks

7. Credits and Payments

The Service uses a credit system for paid Skills. Credits have no cash value and are non-refundable except as required by law. We reserve the right to modify pricing, credit values, and fee structures at any time with reasonable notice.

Skill providers may request withdrawal of earned credits. A minimum balance of $1.00 is required to request a withdrawal. Withdrawals are processed at our discretion and may be subject to verification. We reserve the right to withhold or delay withdrawals if we suspect fraudulent or abusive activity.

8. Prohibited Conduct

You agree not to:

• Upload Skills containing malware, viruses, or malicious code
• Use the Service for illegal purposes or to violate any laws
• Attempt to gain unauthorized access to other users' accounts or data
• Interfere with or disrupt the Service or its infrastructure
• Circumvent any security measures or access controls
• Use the Service to infringe on intellectual property rights
• Misrepresent the functionality or capabilities of your Skills
• Engage in fraud, deception, or abuse of the credit system

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKILLBASE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of data, profits, revenue, or business opportunities
• Data breaches or unauthorized access to your data
• Errors, inaccuracies, or failures in Skill execution
• Any damages resulting from your reliance on Skill outputs
• Service interruptions, delays, or unavailability
• Actions or content of third-party users or skill providers

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

11. Indemnification

You agree to indemnify, defend, and hold harmless Skillbase and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, your violation of these Terms, or your violation of any rights of third parties.

12. Termination

We may suspend or terminate your account at any time, with or without cause or notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the “Last updated” date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts located in San Francisco, California.
